Job Description:

We are seeking an experienced and highly skilled Company Secretary to serve as a pivotal pillar of our corporate governance framework. In the highly regulated banking environment, this role is essential to ensuring that our board operations, regulatory compliance, and stakeholder management function with precision and integrity. The ideal candidate will be a strategic partner to the Board of Directors, providing rigorous legal and governance oversight to support high-stakes decision-making.

Requirements:

  • Governance Advisory: Act as the primary advisor to the Board and senior management on corporate governance best practices, ensuring that all organizational actions align with both legal requirements and ethical standards.

  • Board Administration: Orchestrate the end-to-end administration of Board and Committee meetings, including AGMs and EGMs. You will manage the preparation and circulation of high-level agendas, minutes, and formal resolutions.

  • Regulatory Compliance: Ensure stringent compliance with the requirements of key financial regulators, including the Central Bank of Nigeria (CBN), Securities and Exchange Commission (SEC), Corporate Affairs Commission (CAC), and the Nigerian Exchange (NGX).

  • Corporate Recordkeeping: Maintain meticulous statutory records and corporate documentation, serving as the official custodian of the company’s governance history.

  • Stakeholder Liaison: Serve as the professional conduit between the organization and external stakeholders, including auditors, regulators, and shareholders.

  • Implementation Oversight: Track and monitor the execution of Board-approved decisions and resolutions across the organization to ensure organizational alignment and accountability.

Qualifications and Skills:

  • Education: Bachelor’s degree in Law, Accounting, Business Administration, or a related field.

  • Experience: 8–10 years of relevant experience in corporate governance or a company secretariat function, with a strong preference for candidates with a background in banking or financial services.

  • Professional Certification: Possession of ICSAN, ACA, ACIS, or an equivalent professional qualification is highly desirable.

  • Key Competencies:

    • Regulatory Expertise: Deep, hands-on knowledge of the Nigerian banking regulatory landscape (CBN/SEC/CAC frameworks).

    • Communication: Exceptional verbal and written communication skills with the ability to draft complex board papers and communicate with tact.

    • Integrity: A high level of discretion and ethical standards, given the sensitive nature of board-level documentation.

    • Attention to Detail: Absolute precision in documentation, record-keeping, and legal compliance.
