Job Description:

We are seeking a sophisticated and numerically-minded Senior Governance & Compliance Specialist to support the Company Secretary in safeguarding the integrity of our banking operations. This is a high-impact leadership role that goes beyond clerical secretarial work; it is a position for a Governance Architect who can integrate statutory compliance with strategic organizational design. Requirements:

1. Board Governance & Statutory Excellence

  • Secretarial Integrity: Lead the preparation, collation, and distribution of Board and Committee packs, ensuring 100% adherence to regulatory timelines.

  • Legal Documentation: Draft precise, high-level minutes and resolutions that serve as the definitive legal record of the bank’s strategic decisions.

  • Statutory Custodianship: Maintain all statutory registers and records in strict alignment with the Companies Act and Listings Requirements, ensuring the bank is always "audit-ready."

2. Regulatory Strategy & Ethics

  • Unified Compliance: Coordinate across Legal, Risk, and Compliance teams to develop a singular, cohesive strategy that anticipates legislative changes and global industry trends.

  • Ethical Leadership: Foster a culture of high ethical standards, providing expert advice on governance practices and the organizational vision.

  • Shareholder Relations: Support the end-to-end planning and execution of Annual General Meetings (AGM) and broader shareholder engagement strategies.

3. Organizational Design & Performance Optimization

  • Performance Strategy: Design and implement specialized solutions and strategies that optimize employee potential and drive innovation across functional areas.

  • Thought Leadership: Provide guidance and induction training to directors and internal teams on governance obligations and Listings Requirements.

  • Data-Driven Insights: Analyze business reporting and industry data to identify trends, discrepancies, and opportunities for tactical adjustment.

4. Talent Development & Mentorship

  • Human Capital Growth: Identify development needs and implement learning solutions to enhance individual and team performance.

  • Continuous Learning: Foster a "knowledge-sharing" environment through mentorship and cross-functional skills transfer, ensuring employees maintain regular Personal Development Plans (PDPs).

Qualifications and Skills:

Technical & Professional Profile

  • Education: Bachelor’s degree in Law (LLB), Finance, or Business Administration. Professional certification in Corporate Governance or Chartered Secretaryship (ICSA/CGISA) is highly preferred.

  • Experience: Significant experience in a Banking or Financial Services environment, specifically in governance, legal, or compliance roles.

  • Regulatory Expertise: Expert-level knowledge of the Companies Act, Listings Requirements, and global corporate governance best practices.

  • Analytical Prowess: Ability to synthesize complex data and legislative changes into actionable strategic briefings.
