Job Description:
Are you a meticulous legal professional with a sharp eye for the complexities of international trade and structured finance? We are seeking a Legal Officer to join our specialist team. You will act as a strategic advisor to our Strategic Business Units (SBUs), navigating the legal intricacies of project finance, derivatives, and large-scale telecommunications and energy deals. This is a role for a detail-oriented lawyer who can protect the Bank's interests in high-stakes negotiations while ensuring absolute compliance with global security and continuity standards.
Requirements:
1. Specialized Financial Advisory
Structured & Project Finance: Provide expert advisory on complex financing structures, including Oil & Gas, Telecommunications, and Derivatives, ensuring the Bank’s rights and privileges are ironclad.
International Trade: Under the guidance of the Team Lead, manage the legal risks associated with cross-border trade, highlighting obligations and the consequences of potential breaches.
Opinion Leadership: Conduct deep legal research to prepare opinions on day-to-day operational issues, serving as a reliable knowledge base for the unit.
2. Transactional Drafting & Negotiation
Instrument Drafting: Prepare and vet a comprehensive range of local and cross-border Bonds and Guarantees, ensuring the removal of adverse clauses.
Commercial Documentation: Draft and review critical documents including Loan Agreements, Corporate Guarantees, Letters of Hypothecation, Equipment Leases, and Deeds of Release.
Negotiation Support: Attend high-level meetings with SBUs to negotiate commercial terms, ensuring the Bank enters into synergistic and legally sound partnerships.
3. Due Diligence & Corporate Governance
Corporate Verification: Conduct, analyze, and interpret searches on Certificates of Incorporation and registration for corporate entities to ensure counterparty legitimacy.
Subsidiary Support: Provide general advisory services to the Bank’s subsidiaries, aligning their operations with the Group’s legal framework.
Compliance Stewardship: Ensure 100% adherence to Information Security (ISO 27001) and Business Continuity Management (BS25999) policies.
Qualifications and Skills:
