Job Description:
We are seeking a high-caliber Legal/Company Secretary to serve as the custodian of our corporate integrity and legal framework. This is a vital onsite role in Abuja, designed for a legal professional who understands that sound corporate governance is the backbone of financial stability.
Your mission is to provide expert legal advisory, ensure 100% regulatory compliance, and facilitate the smooth functioning of our Board of Directors. You will act as the primary liaison with regulatory authorities while ensuring that every company decision is documented with "zero-error" precision. If you are a qualified lawyer with a meticulous eye for detail and a passion for the microfinance or financial sector, we want you to lead our legal secretariat.
Requirements:
1. Board Secretariat & Corporate Governance
Meeting Coordination: Lead the end-to-end coordination of Board and Committee meetings, ensuring timely distribution of notices, agendas, and board packs.
Minutes & Documentation: Prepare accurate, comprehensive minutes and track the implementation of Board resolutions to ensure executive accountability.
Governance Advisory: Provide the Board with expert guidance on their duties, responsibilities, and the legal requirements of corporate governance codes.
2. Legal Advisory & Document Engineering
Contract Management: Draft, review, and negotiate a wide range of legal documents, including service level agreements (SLAs), employment contracts, and complex financial agreements.
Litigation Support: Offer strategic legal advice on potential disputes and manage relationships with external counsel where necessary.
Statutory Maintenance: Maintain and update all statutory records, including the register of directors, share allotments, and annual returns.
3. Regulatory Affairs & Compliance
Liaison & Reporting: Act as the primary interface with regulatory bodies (such as the CAC, CBN, and SEC), ensuring all statutory filings are accurate and punctual.
Compliance Audits: Monitor changes in the legal and financial landscape (particularly microfinance regulations) to ensure the company’s policies remain compliant.
Risk Mitigation: Identify potential legal risks in business operations and develop mitigation strategies to safeguard the institution.
Qualifications and Skills:
Professional Profile
Education: Bachelor’s Degree in Law (LLB) and a valid Call to Bar certificate (BL).
Experience: Proven experience in corporate law and company secretarial duties. Familiarity with the microfinance or financial services sector is a strong advantage.
Technical Depth: Expert proficiency in drafting legal paperwork and an intimate understanding of the Companies and Allied Matters Act (CAMA).
Core Competencies
Organizational Mastery: Exceptional ability to manage board calendars and statutory deadlines under pressure.
Communication: Highly effective written and verbal skills, capable of communicating complex legal concepts to non-legal stakeholders.
