Job Description:

  • Support the Company Secretary & Head, Legal in preparing materials for statutory meetings such as Board Meetings and Annual General Meetings.

  • Prepare immigration documents for expatriates and visiting personnel, including CERPAC, TWP, visas, and related filings.

  • Manage the bank’s litigation portfolio and liaise with external solicitors as required.

  • Conduct due diligence on prospective clients by coordinating with external providers for company and land searches.

  • Represent the bank in court and liaise with court officials on a case-by-case basis.

  • Prepare and file regulatory returns in compliance with Nigerian laws and regulatory guidelines (e.g., Immigration Returns, Annual Returns, Statements of Affairs, Change of Directors).

  • Draft and maintain statutory minutes, including Board, Committee, and AGM minutes.

  • Train Credit Officers on legal documentation for borrowers and update training manuals in line with current developments.

  • Ensure compliance with regulatory agencies such as CBN, NDIC, CAC, and NOTAP.

  • Review agreements with institutional service providers, refinanciers, and foreign counterparts.

  • Manage matters relating to institutional association memberships (e.g., NAMB, Microfinance Forum, Institute of Directors).

  • Handle lease-related legal documentation for branches, expatriate residences, and staff rentals.

  • Conduct legal research on various subjects as assigned.

  • Prepare monthly risk incidence reports highlighting potential legal risk exposures.

  • Perform additional ad hoc legal tasks as assigned by the Head of Department.

Requirements:

  • Good negotiation and arbitration skills
  • Knowledge of corporate governance issues
  • Sound knowledge of MS Office package, database management and record keeping
  • Ability to work with a high level of discretion and confidentiality.
  • Effective and very good communication skills (written and oral)
  • Excellent interpersonal and organizational skills
  • Ability to work under pressure

  • Problem-solving attitude and skills
  • High service-orientation.

Qualifications and Skills:

  • Bachelor of Law Degree from a recognized University
  • Minimum of 4 years relevant work experience (i.e. Post Call to bar)
  • Must possess a vast knowledge of the Law and exposure to the financial services sector.
  • Broad knowledge in Nigerian law
