Job Description:
- The Legal Counsel shall be responsible for providing strategic legal advice, ensuring regulatory compliance, managing corporate governance matters, mitigating legal risks, and supporting business operations.
- The role safeguards the company’s interests by ensuring adherence to Nigerian laws, industry regulations, and international best practices and will act as a trusted advisor to management on all legal matters affecting the organisation.
Key Responsibilities
Commercial Advisory:
- Draft and review commercial agreements, including Joint Operating Agreements (JOAs), Sales Agreements (SAs), Transportation Agreements, EPC contracts, service agreements, non-disclosure agreements (NDAs) and Lease and property agreements.
- Support mergers, acquisitions, divestments, asset transfers, and restructuring transactions
Corporate Governance Advisory:
- Provide legal advice on the setting up and administration of corporate governance requirements (board meetings, board committee set up), board documentation and company secretarial matters, in line with the Companies and Allied Matters Act (CAMA).
Transactions & Project Support:
- Provide legal support for oil and gas projects, including project financing, licensing rounds, bid processes, and concession agreements.
- Conduct legal due diligence on assets, partners, and contractors.
Risk Management & Dispute Resolution:
- Identify legal risks associated with operations and propose mitigation strategies.
- Manage disputes, claims, and litigation arising from contracts, regulatory actions, or operational issues, including liaison with external counsel.
- Support arbitration and alternative dispute resolution (ADR) proceedings where applicable.
- Provide timely and practical legal advice to management and business units on legal and regulatory matters.
- Advise on corporate governance, compliance obligations, and risk management.
- Ensure contracts align with company policies and protect organisational interests.
Real Estate & Property Matters:
- Conduct due diligence on land acquisitions.
- Review title documents (C of O, Deed of Assignment, Governor’s Consent).
- Draft and review tenancy and development agreements.
- Liaise with land registries and planning authorities.
Freight Forwarding & Logistics:
- Ensure compliance with:
- Nigerian Customs Service regulations
- Nigerian Ports Authority requirements
- Review carriage, shipping, and freight agreements.
- Advise on import/export compliance and documentation.
- Handle customs disputes and penalties.
Intellectual Property & Entertainment:
- Register and protect trademarks and copyrights.
- Draft artist management and licensing agreements.
- Ensure compliance with:
- Nigerian Copyright Commission.
- Manage IP enforcement and infringement matters.
Regulatory Compliance:
- Ensure the company complies with all statutory and regulatory requirements.
- Liaise with relevant regulatory bodies and government agencies when required.
- Monitor changes in laws and regulations and advise management on implications.
- Support the preparation of board resolutions and corporate filings.
- Maintain statutory records and company documentation.
- Ensure timely filing of annual returns and statutory reports.
- Develop and implement compliance policies and risk frameworks.
- Internal Controls
- Identify legal risks across business units.
- Develop internal legal policies and SOPs.
Requirements:
- Interested candidates should possess a Bachelor’s Degree with 5 - 10 years of experience.
