Job Description:
Legal Management and Corporate Legal Services:
Responsibilities:
- Provide legal guidance and operational support on commercial, corporate, employment, procurement, partnership, and transactional matters.
- Take direct responsibility for managing the organization’s legal affairs and legal exposure.
- Interpret and apply relevant Nigerian laws, regulations, and statutory requirements affecting organizational operations.
- Review operational activities and business decisions to ensure legal adequacy and compliance.
- Coordinate legal responses relating to disputes, claims, investigations, and regulatory matters.
- Manage relationships with external solicitors, regulators, and legal consultants where required.
- Support management during negotiations, partnerships, investments, and strategic transactions.
- Ensure the organization’s legal interests are adequately protected in all engagements and transactions.
Key Deliverables:
- Effective management of organizational legal risks and exposures.
- Prompt legal review and resolution of operational and commercial matters.
- Timely legal support to management and internal stakeholders.

Contract Drafting, Negotiation, and Administration:
Responsibilities:
- Draft, review, negotiate, vet, and manage all contracts, agreements, MOUs, SLAs, NDAs, employment agreements, and legal documentation.
- Ensure contractual terms adequately protect the organization’s legal, financial, and operational interests.
- Monitor contract obligations, deliverables, timelines, renewals, and compliance requirements.
- Coordinate contract execution processes and maintain contract governance procedures.
- Support procurement, vendor engagement, partnerships, and project transactions from a legal and compliance perspective.
- Maintain centralized and secure legal documentation and contract management systems.
Key Deliverables:
- Timely review and execution of contracts and legal documents.
- Reduced contractual disputes and legal liabilities.
- Effective contract monitoring and compliance tracking systems.
- Centralized and properly maintained legal records repository.
Regulatory Compliance and Corporate Governance:
Responsibilities:
- Ensure organizational compliance with all applicable Nigerian laws, industry regulations, licensing requirements, and statutory obligations.
- Coordinate all regulatory filings, approvals, renewals, and submissions with relevant authorities.
- Maintain updated compliance registers, statutory records, licenses, and governance documentation.
- Monitor regulatory developments and implement compliance measures across departments.
- Develop, implement, and enforce internal compliance policies, governance frameworks, and control procedures.
- Ensure adherence to corporate governance standards and ethical business practices.
- Liaise directly with regulators, government agencies, and oversight institutions on compliance-related matters.
Key Deliverables:
- Zero or minimal regulatory sanctions, penalties, or compliance breaches.
- Timely statutory filings, renewals, and regulatory submissions.
- Fully updated legal, compliance, and governance registers.
- Improved institutional compliance and governance culture.
Legal Risk and Compliance Risk Management:
Responsibilities:
- Identify, assess, and monitor legal, contractual, operational, and regulatory risks affecting the organization.
- Develop mitigation measures and corrective action plans for identified risks.
- Coordinate compliance enforcement activities across departments.
- Investigate legal breaches, compliance violations, ethical misconduct, and operational infractions.
- Escalate high-risk legal and compliance issues to management where necessary.
- Support enterprise risk management initiatives from a legal and regulatory standpoint.
- Ensure remediation actions are implemented and properly monitored.
Key Deliverables:
- Effective legal and compliance risk monitoring systems.
- Reduced exposure to operational, regulatory, and contractual risks.
- Timely investigation and resolution of compliance incidents.
- Proper documentation and tracking of remediation measures.
Compliance Monitoring, Audits, and Enforcement:
Responsibilities:
- Conduct periodic compliance audits, reviews, and monitoring exercises across departments and operations.
- Prepare legal and compliance reports for management, regulators, and external stakeholders where necessary.
- Track implementation of corrective actions arising from audits, inspections, and investigations.
- Ensure departments comply with approved policies, legal requirements, and governance procedures.
- Coordinate organizational readiness for external audits, regulatory inspections, and compliance reviews.
- Enforce institutional compliance standards and escalate unresolved violations appropriately.
Key Deliverables:
- Accurate and timely compliance monitoring reports.
- Improved audit readiness and compliance documentation.
- Prompt resolution or escalation of compliance issues.
- Strengthened internal compliance enforcement systems.
Ethics, Training, and Organizational Awareness:
Responsibilities:
- Develop and coordinate legal and compliance awareness programs for staff.
- Train employees on regulatory obligations, anti-corruption practices, workplace ethics, data protection, corporate conduct, and compliance standards.
- Promote an organization-wide culture of accountability, ethics, and compliance.
- Provide compliance guidance and support to operational departments.
- Ensure employees understand institutional legal obligations and compliance expectations.

- Improved staff awareness of legal and ethical obligations.

Investigation, Dispute Resolution, and Incident Management:
Responsibilities:
- Coordinate investigations involving fraud, misconduct, contractual breaches, ethical violations, and regulatory non-compliance.
- Gather evidence, document findings, maintain confidentiality, and support disciplinary or legal actions where required.
- Coordinate organizational responses to legal claims, disputes, enforcement actions, and regulatory inquiries.
- Recommend corrective, disciplinary, and preventive actions arising from investigations.
- Monitor recurring incidents and recommend institutional control improvements.
Key Deliverables:
- Prompt and professional handling of investigations and legal incidents.
- Reduced recurrence of compliance and ethical violations.
- Effective documentation and management of investigation processes.
- Coordinated institutional response to legal and regulatory matters.
Requirements:
- Bachelor’s degree in Law (LL.B) from a recognized institution.
- BL qualification and active membership of the Nigerian Bar Association (NBA).
- Minimum of 4–6 years progressive experience in legal practice, corporate compliance, risk management, or corporate governance.
- Experience within healthcare, corporate services, regulated industries, or project environments is an added advantage.
- Strong knowledge of Nigerian corporate law, labor law, contract law, regulatory compliance frameworks, and governance standards.
- Experience managing contracts, regulatory engagements, investigations, and compliance systems.
