Job Description:
Corporate & Company Law
- Advise on company formation, restructuring, shareholder arrangements, and corporate governance matters.
- Draft, review, and negotiate shareholders’ agreements, articles of association, board resolutions, and corporate policies.
- Ensure compliance with the Companies and Allied Matters Act (CAMA) and other relevant Nigerian regulations.
Technology & Investment Law
- Provide legal support on technology investments, venture capital, private equity, and startup financing transactions.
- Advise on regulatory considerations affecting technology-driven businesses, including fintech, digital platforms, and data-driven enterprises.
- Draft and negotiate investment agreements, term sheets, SAFE instruments, and related documentation.
- Support compliance with data protection, intellectual property, and technology-related regulations.
Mergers & Acquisitions
- Lead or support legal aspects of mergers, acquisitions, divestments, and joint ventures.
- Conduct legal due diligence and risk assessments.
- Draft, review, and negotiate transaction documents, including SPAs, asset purchase agreements, and ancillary documents.
- Support post-transaction integration and regulatory filings.
General Legal Advisory
- Provide ongoing legal advice on commercial contracts, employment matters, and regulatory compliance.
- Identify legal risks and propose practical, business-focused solutions.
- Liaise with external counsel, regulators, and other stakeholders as required.
- Support dispute prevention and, where necessary, early-stage dispute management.
Requirements:
- Strong drafting, negotiation, and legal advisory skills.
- Commercially minded with the ability to balance legal risk and business objectives.
- Excellent communication and stakeholder management skills.
- Ability to work independently and manage multiple matters concurrently.
- High ethical standards and professional discretion.
- Engagement & Availability
- Fractional engagement (e.g., 10–20 hours per week or as agreed).
- Hybrid or remote, with availability for meetings in Lagos when required.
Qualifications and Skills:
- Bachelor of Laws (LL.B) and Barrister at Law (B.L); called to the Nigerian Bar.
- Minimum of 7–10 years post-call experience, with demonstrable expertise in company law, technology investments, and M&A.
- Prior experience in a top-tier law firm, in-house legal team, or advisory role supporting technology or investment-focused businesses.
- Strong knowledge of Nigerian corporate, commercial, and regulatory frameworks.
- Experience working with start-ups, investors, or multinational organizations is an advantage.
