Job Description:
- The Legal Manager will be responsible for managing the full lifecycle of commercial contracts, ensuring that JMG Limited’s interests are protected while enabling business growth.
- You will act as a strategic partner to various business units, translating complex legal requirements into practical, business-focused solutions.
Responsibilities
- Prepare, review, and revise a wide range of commercial agreements, including vendor/supplier contracts, sales agreements, non-disclosure agreements (NDAs), memoranda of understanding (MOUs), distribution agreements, and service level agreements (SLAs).
- Lead negotiations with external parties to secure favorable terms, balancing legal risk with commercial objectives. Collaborate with internal stakeholders (Sales, Procurement, Operations) to ensure contract terms meet business needs.
- Partner with bid teams to review tender documents, assess risks, and ensure compliance with customer requirements and governance protocols during the pre-award and post-award phases.
- Identify and evaluate legal, financial, and operational risks within contracts and proposals.
- Ensure all contracts comply with Nigerian laws, industry regulations, and JMG Limited’s internal policies. Stay updated on legislative changes affecting commercial activities.
- Enhance internal compliance processes, conduct contract audits, and maintain a robust contract repository for easy retrieval and tracking of obligations.
- Provide clear, practical legal advice to internal teams on contractual rights, obligations, and commercial risks throughout the project lifecycle.
Requirements:
- A Bachelor of Laws (LL. B) degree from a recognized university.
- Call to the Bar (Nigerian Law School) or a qualified lawyer in a common law jurisdiction.
- Minimum of 7 to 8 yearsof post-qualification experience.
- Proven experience in a corporate/commercial legal department or a reputable law firm.
- Experience in sectors relevant to JMG Limited (e.g. Manufacturing, Engineering, FMCG, Distribution, or Infrastructure) is highly desirable.
- Deep expertise in drafting, reviewing, and negotiating complex commercial contracts (EPC, Supply, Distribution, and Services agreements).
- Strong knowledge of Nigerian contract law, the Sale of Goods Act, Arbitration laws, data protection regulations, and corporate governance principles.
- Demonstrated ability to assess risk from a legal and business perspective, providing solution-oriented advice.
